BACK ORDERS
We continually update our on-line store so that we
may offer our customers the latest product information available. Due to the
popularity of some products and dynamic market conditions, we may not always
have all your requested items in stock. While we will exhaust every effort to
supply each invoice as ordered, LAMerchandises.com reserves the right to back
order or cancel out of stock items or to substitute substantially similar items
to fulfill an order. If your order is not in stock it will be placed on
backorder and shipped when the item is available. We cannot always predict when
a certain product may become available again but we will try to give you as much
information as possible whenever we have it. You may cancel any backorder any
time prior to shipping by contacting our order processing department at Sales@LAMerchandises.com. Orders that have already shipped cannot be cancelled.

suppliers, We reserve the right to cancel or refuse any/all orders that are

SIMILAR VALUE AS COLLATERAL.
Warranties & Limitation of Liability

GUARANTEE, LAMerchandises.com HEREBY DISCLAIMS ALL WARRANTIES, EITHER EXPRESS
OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY

OF THE MANUFACTURER’S WARRANTY, IF ANY. TO THE MAXIMUM EXTENT PERMITTED BY

FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS

exclusive remedy for all damages, losses and cause of actions against
LAMerchandises.com, its officers, directors, employees and/or other
representatives related to the products sold whether in contract, tort
(including negligence) or otherwise shall not exceed the price (excluding
shipping, taxes and duties) of the product that was ordered by that customer in
the related transaction. All goods purchased from LAMerchandises.com must be
resold or used within the guidelines of the manufacturers’ licensing agreement.

whether the product is a suitable purchase and meet Your specific requirements.

Jurisdiction
THIS AGREEMENT AND ANY SALES HEREUNDER SHALL BE
GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO CONFLICTS OF
LAWS RULES. THE CUSTOMER CONSENTS TO THE JURISDICTION OF THE FEDERAL OR STATE
COURTS LOCATED IN THE STATE OF CALIFORNIA FOR PURPOSES OF ANY SUIT, ACTION OR
PROCEEDING ARISING OUT OF THIS SALE AGREEMENT.

Waivers
customer and LAMerchandises.com
hereby waive their respective rights to a jury trial of any claim or cause of
action based upon or arising out of this agreement or any of the transactions
contemplated therein. customer severally waives presentment for payment, demand,
notice of intent to reposes, diligence in collecting and the bringing of suit.
Upon default in any obligation described herein, LAMerchandises.com may
accelerate and declare the entire unpaid balance immediately due and payable.
customer agrees this AGREEMENT is provided in evidence of and as partial
security and not in payment of amounts due to LAMerchandises.com under a
preexisting agreement for the extension of credit. customer agrees that this
AGREEMENT is provided not in payment of, but as additional security for and
evidence of obligations due to LAMerchandises.com under existing Credit or
Sales Agreements with customer and this is not accepted in lieu of
LAMerchandises.com ’s lien, payment bond, or other legal rights. customer
hereby constitutes and appoints LAMerchandises.com and its agents, his true and
lawful attorney-in-fact, with full power and authority hereby given to appear
and present this AGREEMENT before the Clerk of any court in the state of
CALIFORNIA, at any time after maturity or default on any of the installments
hereof and to waive the issuance and service of process and to confess judgment
against him in favor of LAMerchandises.com for the amount of money due plus
interest and costs, plus reasonable attorney fees less credit for payments made.
Neither the failure nor any delay on the part of LAMerchandises.com to exercise
any right, power or privilege herein or under any other document pertaining to
the sale of goods or services to customer shall operate as a waiver thereof, nor
shall any single or partial exercise of such right, power or privilege preclude
any other or further exercise thereof or the exercise of any other right, power
or privilege. The acceptance by LAMerchandises.com of any payment hereunder
which is less than payment in full of all amounts due and payable at the time of
such payment shall not constitute a waiver of the right to exercise any of
LAMerchandises.com ’s rights, remedies, recourses or powers.
Termination of Agreement
This AGREEMENT and each provision herein shall be
binding upon and inure to the benefit of the customer, LAMerchandises.com, and
respective successors, heirs, legatees, executors, personal representative and
assigns. This AGREEMENT shall remain in full force regardless of any change in
the legal structure of customer. In the event of such a change in legal
structure of the existence of related entities or individuals, it is agreed that
both the customer and the related legal entities or individuals shall be
obligated for all amounts due under this AGREEMENT. This AGREEMENT may be
terminated at any time by either party. Severability. If any provisions of this
AGREEMENT are found to be invalid as a matter of law, then said provision shall
be severed from the remainder of the AGREEMENT, thereby leaving the remainder of
the AGREEMENT valid and enforceable.

All trademarks or service
marks are the property of their respective owners.
Entire Agreement
This AGREEMENT
constitutes the entire agreement between the customer and LAMerchandises.com
relating to the purchase or sale of goods or services. The Agreement may only be
modified or terminated with regard to goods or services that have been purchased
or sold in writing signed by LAMerchandises.com.
